Hong Kong Exchanges and Clearing Limited Issue Consultation Conclusions on Review of the Corporate Governance Code and Associated Listing Rules

In December 2010, the Hong Kong Exchanges and Clearing Limited started a consultation on the review of the Code on Corporate Governance and Associated Listing Rules, which included measures to: (i) improve transparency by bolstering requirements for disclosure and communication with shareholders; (ii) enhance the quality of directors and company secretaries by requiring training; (iii) require greater involvement in issuers’ board committees by INEDs; (iv) recognise company secretaries’ contribution to corporate governance and define their role and function; and (v) place emphasis on the leadership role of the chairman of the board in corporate governance matters. This report details the amendments to the Corporate Governance Code emanating from feedback to the consultation paper.
